Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of titan-tech-services.com (the "Site") and the predictive maintenance, monitoring, and industrial diagnostic services (the "Services") provided by Titan Tech Services ("we," "us," or "our"), a Lafayette, Louisiana based business. By accessing the Site or engaging us for Services, you agree to these Terms. If you do not agree, do not use the Site or our Services.
1. Scope of Services
Titan Tech Services provides industrial monitoring solutions including, but not limited to:
- Predictive maintenance systems and condition-based monitoring
- Real-time equipment monitoring and dashboards
- Data acquisition (DAQ) deployment and integration
- Oilfield, refrigeration, marine, and industrial equipment diagnostics
- Industrial automation, PLC, and SCADA integration support
- Remote performance tracking and fault-detection alerting
The exact scope, deliverables, schedule, and fees for any engagement are defined in a separate written proposal, statement of work, service agreement, or quote (the "Service Agreement"). In the event of any conflict between these Terms and a signed Service Agreement, the Service Agreement controls.
2. Use of the Site
You agree to use the Site only for lawful purposes and in a manner that does not infringe on the rights of others. You agree not to:
- Attempt to gain unauthorized access to any portion of the Site, our systems, or our customer data
- Interfere with or disrupt the operation of the Site or any associated systems
- Use any automated means to scrape, copy, or harvest content beyond what is reasonably required for normal browsing
- Submit false, misleading, or unlawful information through any contact or inquiry form
3. Quotes, Proposals, and Service Engagements
Information presented on the Site is for general informational purposes and does not constitute a binding offer of Services or pricing. All Services are subject to a written Service Agreement signed by both parties. Quotes are valid for the period stated on the quote and may be revised based on site conditions, asset complexity, equipment access, and other factors discovered during inspection or installation.
4. Client Responsibilities
To allow us to deliver Services effectively, you agree to:
- Provide safe, timely, and reasonable access to the equipment, facilities, and personnel necessary for the Services
- Disclose known hazards, lockout/tagout requirements, and site safety rules in advance
- Maintain the operating environment, power, and network connectivity required for installed monitoring equipment to function
- Use the data, alerts, and recommendations we provide as one input to your maintenance decision-making, not as a substitute for qualified engineering judgment, manufacturer guidance, or routine operator inspection
5. Intellectual Property
All content on the Site, including text, graphics, logos, layouts, software, and images, is the property of Titan Tech Services or its licensors and is protected by applicable intellectual property laws. Our methodologies, dashboards, alerting models, configuration templates, and similar tools used to deliver the Services remain our property. Nothing on the Site grants any license or right to use any of our trademarks, logos, or content without our prior written consent. Data generated by your equipment and captured for your operations through the Services remains yours.
6. Third-Party Equipment and Services
Our Services may involve sensors, controllers, network equipment, software, or hosted platforms supplied by third parties. We will use commercially reasonable efforts to select reliable components, but warranties, performance, and support for third-party hardware and software are governed by the terms of those third parties. We are not responsible for defects, downtime, end-of-life decisions, or pricing changes by third-party manufacturers or providers.
7. Disclaimer of Warranties
The Site and any content on it are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or secure. Predictive maintenance and monitoring outputs are designed to identify likely or developing equipment issues based on observed data; they do not guarantee detection of every fault or failure mode. Equipment failure is influenced by many variables outside any monitoring system's control.
8. Limitation of Liability
To the fullest extent permitted by law:
- Titan Tech Services shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including, but not limited to, lost profits, lost revenue, loss of use, lost production, downtime, business interruption, equipment damage not directly caused by our negligence, or loss of data, arising out of or relating to your use of the Site or the Services, even if we have been advised of the possibility of such damages.
- Our aggregate liability arising out of or relating to the Site or any Services shall not exceed the total amount actually paid by you to Titan Tech Services for the specific Services giving rise to the claim during the twelve (12) months immediately preceding the event from which the claim arose.
- Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for gross negligence, willful misconduct, or fraud.
9. Indemnification
You agree to defend, indemnify, and hold harmless Titan Tech Services, its owners, employees, contractors, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of (a) your misuse of the Site, (b) your breach of these Terms, or (c) your violation of any applicable law or third-party right in connection with your use of the Site or the Services.
10. Confidentiality
Each party agrees to protect the other party's non-public business and operational information disclosed in connection with the Services with the same degree of care it uses to protect its own confidential information, and at minimum a reasonable degree of care. This obligation does not apply to information that is publicly known through no fault of the receiving party, was rightfully known before disclosure, or is required to be disclosed by law.
11. Governing Law and Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them or their subject matter, the Site, or the Services are governed by and construed in accordance with the laws of the State of Louisiana, without regard to its conflict of law principles. The parties irrevocably agree that the state and federal courts located in Lafayette Parish, Louisiana shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter, and you consent to the personal jurisdiction and venue of those courts.
12. Force Majeure
We are not liable for any delay or failure to perform that results from causes beyond our reasonable control, including but not limited to acts of God, severe weather, hurricanes, flooding, fire, labor disruptions, supply chain disruptions, equipment failures of third parties, communications outages, governmental action, or pandemic-related restrictions.
13. Severability
If any provision of these Terms is held to be invalid or unenforceable, that provision shall be enforced to the maximum extent permitted, and the remaining provisions shall remain in full force and effect.
14. Changes to These Terms
We may update these Terms from time to time. The "Effective" date at the top of this page reflects the most recent revision. Continued use of the Site after changes are posted constitutes acceptance of the updated Terms.
